Please see additional information regarding this position listed below skills/competencies.Primary ResponsibilitiesAssists and partners with business units to provide practical legal advice on issues related to complex business and banking mattersProvides strategic, pragmatic, and trusted legal advice to business unitsAdvises management as to the interpretation of laws and regulations and on new and recent changes in laws and regulations that affect the BankMonitors and remains up to date on emerging legislative developments that may affect the BankParticipates in line of business-initiated projects such the drafting of policies and procedures on new regulations and amendments or new interpretations of existing regulationsProvides seasoned assessment of legal risk when business decisions are made, demonstrating consideration for the Bank’s reputation as well as our clients and assetsMay work with outside counsel on legal issues impacting the BankMay lead other Assistant General Counsel, specialist, or paralegal staffMay provide assistance with training bankers, associates, operational staff, and customer support staff on legal issuesThis position is exempt from timekeeping requirements under the Fair Labor Standards Act and is not eligible for overtime pay.This position is incentive eligible. RequirementsLaw DegreeLicensed in good standing to practice law in at least one jurisdictionSix (6) years of legal experience at a regulatory agency, in the financial services industry, or at a law firm with strong knowledge of bank regulations or other relevant practical legal experienceSkills and CompetenciesAbility to assimilate and analyze facts and present complex issues in a clear and concise manner and provide succinct results-oriented legal adviceAbility to build strong partnerships with business colleagues to drive resultsAbility to manage a high-volume workload and reach prompt, pragmatic decisionsAbility to work in a collaborative environment with multiple stakeholdersAdvanced analytical, research, decision-making and problem-solving skills combined with effective time management and project management/planning skillsDemonstrated ability to comfortably operate in a constantly changing environmentExcellent verbal and written communication skillsStrong organizational skillsAdditional Responsibilities:• Drafts, reviews, negotiates, and approves a broad range of vendor contracts, including master agreements, statements of work, subscription agreements, software licenses, and nondisclosure agreements.• Partners with Procurement, business stakeholders, Cyber Security, Privacy, Third Party Risk Management, Compliance, and other control functions to identify and mitigate legal and regulatory risks.• Advises on contract provisions involving data privacy, information security, artificial intelligence, intellectual property, confidentiality, and regulatory compliance.• Balances legal risk management with business objectives to facilitate timely execution of strategic initiatives and vendor relationships.• Develops and maintains contract templates, negotiation guidance, playbooks, and other tools to drive consistency, efficiency, and risk mitigation.• Supports enterprise initiatives by assessing contractual, operational, and legal risks associated with new products, services, and technologies.• Manages complex negotiations with vendors and internal stakeholders while providing practical, business focused solutions.• Monitors legal and regulatory developments affecting third party contracting and procurement practices and advises on necessary process or contract updates.• Contributes to continuous improvement efforts by enhancing contracting processes, reporting, training, and governance to improve efficiency and strengthen risk management.Position TypeFull timeCompensation DetailsPay ranges are job specific and are provided as a point-of-market reference for compensation decisions. As these factors vary by individuals, pay will also vary among individual associates within the same job.The target information listed below is based on the Metropolitan Statistical Area Market Range for where the position is located and level of the position.Job Range Target:Minimum:$110,470.25 USDMedian:$157,150.00 USDIncentive Pay Plans:This role is eligible to participate in the annual discretionary incentive plan.
